Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the Keyly property marketplace at keyly.com.au (the “Platform”). By creating an account or using the Platform, you agree to these Terms. If you do not agree, please do not use the Platform.

5. Enquiries, messaging and dealings between users

The Platform lets buyers and listers connect via enquiries and in-app messaging. Any inspection, negotiation, contract or transaction is solely between the users involved. Keyly is not responsible for the conduct of any user or the outcome of any dealing, and you should undertake your own due diligence and obtain independent legal and financial advice before entering into any property transaction.

6. Suspension and termination

We may suspend or terminate your access, remove content, or block your account if you breach these Terms, if required by law, or to protect the Platform or its users. You may stop using the Platform and close your account at any time. Provisions that by their nature should survive termination will survive.

7. Intellectual property

The Platform, including its design, branding, text and software, is owned by Keyly or its licensors and is protected by intellectual property laws. Except for the content you submit, you may not copy, modify, distribute or create derivative works without our permission.

8. Disclaimers

The Platform is provided “as is” and “as available”. To the maximum extent permitted by law, we do not warrant that the Platform will be uninterrupted, error-free or secure, or that any listing, price or information is accurate, current or complete. Nothing in these Terms excludes, restricts or modifies any guarantee, right or remedy under the Australian Consumer Law that cannot lawfully be excluded.

9. Limitation of liability

To the maximum extent permitted by law, Keyly will not be liable for any indirect, incidental, special or consequential loss, or loss of profits, data or opportunity, arising from your use of the Platform or any dealing with another user. Where our liability cannot be excluded but can be limited, our liability is limited, at our option, to re-supplying the relevant service or paying the cost of having it re-supplied.

You agree to indemnify Keyly against any claims, losses, liabilities and costs arising from your content, your use of the Platform, or your breach of these Terms or of any law or third-party right.

Our handling of personal information is described in our Privacy Policy, which forms part of these Terms.

12. Changes to these Terms

We may update these Terms from time to time. Material changes will be notified through the Platform or by email. Your continued use after changes take effect constitutes acceptance of the updated Terms.

13. Governing law

These Terms are governed by the laws of Victoria, Australia, and you submit to the non-exclusive jurisdiction of the courts of that State and the Commonwealth of Australia.
